Abstracted from OMA Bylaws Adopted in June 2019 Article 7 Committees Section 7.03 Nominating Committee. The composition, function and operation of the Nominating Committee shall be as follows: (a) Composition. The Nominating Committee shall be composed of the PresidentElect, who shall serve as the chairperson of the Nominating Committee; and four Association members who are appointed by the Board of Trustees. In the absence of the President-Elect, the Vice- President shall serve as the chairperson. (b) Basic Function. The basic function of the Nominating Committee shall be to identify qualified nominees for Board of Trustee and officer positions and such other positions as may be provided for in these bylaws or delegated to the committee by the Board, and to evaluate whether such nominees satisfy the criteria set forth in Article 8 and are willing to serve in such positions, if elected. (c) Term. Nominating Committee members shall serve no more than three (3) consecutive one-year terms. (d) Vacancies. Any member of the Nominating Committee who desires to seek election or re-election to the Board of Trustees or any officer position shall resign from the committee and shall notify the Committee Chairperson on or before the commencement of any meetings of the Nominating Committee, held with respect to such positions. In the event of such resignation, the Board shall fill the vacancy. In addition, if a vacancy occurs on the Nominating Committee by reason of a death, disability or other reasons, such position shall be filled by the Board.

Article 8 Nomination and Election of Trustees and Officers Section 8.01 Nomination and Election Process. Each year the voting members of the Association elect Board of Trustee members and officers of the Association that are up for election. For each election year approximately one-half of the at-large members of the Board of Trustees are elected by the membership. The election process shall be held by electronic ballot or other manner determined by the Board. The nomination and election process is further described in this Article 8. Section 8.02 Criteria for Board of Trustee Positions. The criteria are as follows: (a) An Association member in good standing in a membership category eligible to hold elective office under Article 2 of these Bylaws for at least two (2) years at the time of taking office. (b) In order to be eligible to serve as a member of the Board of Trustees elected by the Membership, such members must be board certified by the American Board of Obesity Medicine at the time of election and qt the time of taking office ( except for the Nurse Practitioner/ Physician Assistant member of the Board of Trustees, which member must hold an OMA Proficiency Certificate or equivalent (as determined by the Board) at the time of election and at the time of taking office). (c) Willingness to observe fiduciary duties including the duties of obedience, loyalty and care to the Association. ( d) Willingness to comply with the Association's conflict of interest policy. ( e) Willingness to maintain the confidentiality of Association information and protect Association intellectual property, and to sign agreements to this effect, in a form approved by the Board. (f) Ability to contribute necessary time to attend two Board of Trustee meetings per year in person and participate in conference calls and email communications as needed. Ability to travel for the Association upon request by the Board, monitor Association committees and participate in Association conference calls and the strategic planning sessions as needed. (g) Ability to contribute necessary time to monitor and participate in committees. Section 8.03 Criteria for Elected Officer Positions. The criteria are as follows: (a) Must satisfy the criteria set forth in Section 8.02 above. (b) Experience having served one full term as a member of the Board of Trustees at the time of taking Office, and for the President-Elect having served previously as an Officer of the Association. (c) For purposes of clarification, Nurse Practitioner/Physician Assistant members are not eligible to be an Officer. Section 8.04 Selection Process for Elected Board of Trustee and Elected Officer Positions by Nominating Committee. The selection process utilizing the Nominating Committee is as follows: (a) Interested and eligible Members must complete an Association nomination application form developed by the Nominating Committee for the position to which they wish to be considered and a conflict of interest form and return the completed forms to the Nominating Committee and Executive Director prior to deadlines established by the Nominating Committee. In addition, the nominee must confirm his or her expectation of the time commitment for the position, confirm eligibility and provide information relative to the criteria for the applicable position and indicate that they are willing and able to serve in the position.

(b) The Nominating Committee shall review the application and conflict of interest forms and other information and select at least one and preferably more than one qualified candidate for each position for recommendation to the voting membership. (c) The candidates recommended by the Nominating Committee shall be presented to the Board of Trustees for its final approval before the mailing of an election ballot to the Membership. Section 8.05 Election Procedure for Elected Board of Trustee and Elected Officer Positions. Candidates recommended by the Nominating Committee shall be chosen pursuant to the following procedure: a) Preparation of Ballot. The Board of Trustees shall inform the Association staff in a timely manner of the slate of candidates for the purposes of preparing an electronic ballot and candidate information. b) Candidate Information. Each candidate shall have an opportunity to provide information about their qualifications and interests in serving in their respective position. Such information shall be reviewed and approved by the Nominating Committee and Executive Director and will accompany the electronic ballot when disseminated to the membership online. Candidates shall adhere to campaign rules and policies adopted by the Board, and failure to abide by those rules and policies may result in the Board taking remedial action, including declaring the ineligibility of the candidate. c) Election. The ballot and related candidate information shall be delivered electronically to all eligible Association members. Votes must be cast according to rules and processes adopted by the Board. The Association executive staff shall tally the votes under the direction of the Immediate Past President and announce the results of the election to the members.

Board of Trustees Election Campaign Rules Approved May 29, 2019

Board of Trustees Election Campaign Rules These Obesity Medicine Association (“OMA”) Candidate Campaign Rules (the “Rules”) for Board of Trustees elections outline the activities by which candidates can campaign for a position as an OMA Officer or member of the OMA Board of Trustees (the “OMA leadership”). OMA leadership elections are collegial competitions, and candidates for such positions may engage only in positive campaigning. As such, OMA will not tolerate any negative campaigning and has the authority to remove candidates from the election process if violations occur. A carefully considered nominations and election process has been established in the OMA Bylaws. Each candidate shall have an opportunity to provide requested information about their qualifications and interests in serving in the respective OMA leadership position they are seeking. Such information shall be reviewed and approved by the OMA Nominating Committee and Executive Director and will accompany the electronic ballot when disseminated to the membership. E.g., Current activities of candidates in acknowledged competitive professional societies or associations, such as active board of trustee memberships in competitive organizations, may lead to disqualification of candidacy. Failure to abide by these rules may result in the OMA Board of Trustees taking remedial action, including, without limitation, suspending the election process, declaring the ineligibility of a candidate, or other remedial action. Candidate Campaign Materials Campaign materials shall mean any document, electronic transmission, object, or other information and materials that has the purpose or effect of promoting the candidacy of an individual for an OMA leadership position. As applicable, all campaign materials must carry an identification of their source. Production and distribution of campaign materials constitute campaign activities, and actual expenses incurred must be by the candidate, not OMA or any third party or via direct or indirect sponsorship of the candidate by a third party. Campaign materials shall refrain from including any negative remarks as to the other candidates or the OMA or OMA staff and shall not contain any lude or offensive illustrations or language in promoting the candidate. The OMA will provide each verified candidate with a candidate’s web presence created by OMA staff that features the following for each candidate nominated that the nominee would be required to provide equally: 1. Candidate Campaign Rules 2. OMA Conflict of Interest Policy and Disclosure Rules 3. Photo of the candidate 4. Biographical information listed on the leadership application 5. A Personal Candidate Statement (no more than 500 words) that provides insight in the candidates personality and opinions regarding the following: a. Tell your peers who you are in regards to your current role and position held and your professional aspirations. b. Why do you want to become an OMA Board of Trustee member, and why do you think you would make an effective and collegial OMA Board of Trustee member? c. Do you know what the OMA’s current goals and objectives are, and what are your top 3 goals and objectives that you see most important for the OMA to accomplish and why? d. How do you think your talents and skills will best serve the OMA and its members? e. Why do you have a passion for obesity medicine? 6. Possible candidate conflicts of interest and disclosures as submitted on the OMA Conflict of Interest Policy and Disclosure Statement

OMA Policy on Using Social Media for Campaigning Candidates for OMA leadership positions may use their own social media websites and applications such as, but not limited to, Facebook, Twitter, YouTube, and LinkedIn to campaign. However, candidates are not allowed to campaign on any OMA social media sites, including the OMA LinkedIn Group. At no time will the OMA provide anyone with member or non-member contact information, social media profiles, or any other contact channel information. All campaign contacts will have to be obtained by the candidates on their own accord. Endorsements of Candidates

Candidates for OMA leadership positions cannot claim to be endorsed by third parties. Under these Rules, Candidates, OMA Members, or Other Third Parties May Not: • Use or purchase OMA membership lists for campaigning purposes • Engage in false or misleading campaign activities

• Utilize confidential information or violate other OMA policies in campaign activities • Pursue blast or bulk e-mails, blast or bulk-faxes, or bulk mailing for campaigning purposes • Campaign during any CME activities • Engage in any form of negative campaigning, including speaking about an opponent, disparaging the opponent in any way, or encouraging others to do the same • Use or distribute OMA funds to support, publicize, or encourage support or endorsement, or to oppose the candidacy of an individual or group of individuals • Lend the use of OMA facilities or conference locations, such as office space, equipment, supplies, or official letterhead of OMA, to support or oppose the candidacy of an individual or group of individuals • Use the OMA logo or any other OMA trademark or intellectual property to promote a candidate for office, or on any related campaign material • Give a gift or anything of value to an OMA member in exchange for a vote or endorsement for selected office at any time • Use third-party funds or sponsorship funds to promote the candidate or their candidacy in any way

Conflict of Interest Policy and Disclosure Statement

OMA Conflict of Interest Policy The Obesity Medicine Association (OMA) Board of Trustees must act at all times in the best interest of OMA. The purpose of this policy is to help inform the OMA, its members and leaders about what constitutes a conflict of interest, provide assistance in identification and disclosure of actual and potential conflicts, and help ensure the avoidance and resolution of conflicts of interest when necessary. This policy may be enforced as described below: 1. Board members have a fiduciary duty to conduct themselves without conflict to the interests of OMA. In these capacities, they must subordinate personal, individual business, third-party and other interests to the welfare and best interests of OMA. 2. A conflict of interest is a transaction or relationship which presents or may present a conflict between an individual’s obligations to OMA and the individual’s personal, business or other interests. a. Generally, a conflict of interest could be said to exist when individuals have material interests outside OMA which could influence them, or could be perceived as influencing them to act contrary to the best interests of OMA and for their own personal benefit or the benefit of a relative or business associate. If such conflict is identified, the individual is asked to extract themselves from voting on a motion. b. Frequently the type of interest resulting in a conflict would be financial, such as an individual who has an association with a third party through ownership interest, stock/bond holdings, a grant, an employment relationship, or a consultative or advisory arrangement. Examples include serving on a speakers’ bureau or advisory board, as well as receiving honoraria from a medical education company for CME presentations. c. In some instances a conflict of interest may exist even though the conflict does not arise out of financial considerations. For example, a member of the OMA Board of Trustees also may have a fiduciary responsibility as a member of the Board of Trustees or committee of another organization. If the interests of that organization were contrary to or in competition with the interests of OMA, a situation could exist in which the individual could not fulfill his or her fiduciary responsibilities to both organizations or may be disqualified as a board of trustee candidate during the nomination process. 3. All conflicts of interest are not necessarily prohibited or harmful to the OMA. However, full disclosure of all actual and potential conflicts, and a determination by the Board – with the interested individual recused from participating in debates and voting on the matter – are required. NOTE: some conflicts may lead to a disqualification during candidacy as determined by the OMA Nominating Committee. 4. All actual and potential conflicts of interest shall be disclosed by Board members through the annual disclosure statement and/or whenever a conflict arises. The disinterested members of the Board shall make a determination as to whether a conflict exists and what subsequent action is appropriate (i.e. require the person with the conflict to abstain from discussing or voting on matters involving the conflict, resign from office, etc.). 5. On an annual basis, all Board members shall be provided with a copy of this policy and are required to complete and sign the disclosure statement below. OMA will provide all members of the Board with copies of the disclosure statements for all members of the Board and will publicly list potential conflicts as part of the candidacy announcement. Note: A separate policy exists for all OMA Continuing Medical Education activities. Individuals participating in these activities are subject to the “OMA Policy for Commercial Support and Continuing Education Programs” and should complete the full disclosure statement developed solely for these activities.

Total Net 181,053 February is early in the year to glean much by way of financial performance compared to annual budget. We are implementing monthly in addition to year to date expectations but this needs further analysis and refinement to be firmly relied on. However, it does help staff and departments better understand how revenue and expense ebb and flow specific to their areas. Through February revenue is up by $215, 307 compared to what we budgeted for January and February due to revenue from membership dues, products, and publications performing above budgeted expectations at this timepoint. Additionally, Spring Conference accounts for roughly 50% of the variance because we did not include a monthly budget against this line item. On the expense side there is a favorable variance of $101,528 to budgeted expectations at this timepoint (end of February). Favorable variances to year to date revenue and expense are likely to smooth out as the year progresses reducing the bottom line net income. Quarterly analyses of overall performance are useful and provide for enough data and information to adjust yearend expectations if needed. The staff leadership team will look more closely at Q1 (Jan-Mar) activity and financial performance and to better analyze variances to date.
