Confidentiality

I, the undersigned committee member of the Obesity Medicine Association (OMA), hereby affirm and agree that I will not communicate or disclose via discussion, email, texting, social networking, mail, or any other form of communication, confidential information that I may encounter or to which I may have access as a committee member to any person(s) not on the committee(s) to which I have been appointed or the OMA Board of Directors, other than to those persons specifically employed or engaged by the OMA to assist with the subject matter of the applicable confidential information (i.e. specifically-designated OMA staff, legal counsel). Furthermore, I affirm and agree not to misuse or otherwise misappropriate any confidential information. I further agree that I will adhere to this Statement and Agreement. For purposes of this Agreement, confidential information includes, but is not limited to, the contents of the committee meetings, agendas, discussion, supporting materials, or minutes (past or current), information received from the Board, information regarding the organization, operations, programs, activities, policies, procedures, practices, financial condition, trade secrets, membership lists, litigation matters and standards of OMA, its members, or third parties. Confidential Information does not include information generally known to the public through no disclosure or fault on my part. I further affirm and agree that I will not record any proceedings or discussions of the committee or any Board meeting to which I am invited, in whole or in part, including committee meetings and calls, unless specific consent for recording that particular proceeding has been granted by majority vote of the committee or Board (Board may only provide consent if I attend a Board meeting). I understand and agree that confidential information remains confidential even after I complete my term of service. Therefore, I will not, either during or after the term of my service, use or seek to use any of the confidential information for my own benefit, for the benefit of a competitor of the OMA, or to benefit any third person or entity. Any exceptions to the obligations herein require Board approval.

Furthermore, should I discover a breach of confidentiality; I will immediately contact the OMA Executive Director and relay complete and detailed information regarding the incident.

Intellectual Property

I hereby assign to OMA all of my right, title and interest in and to any copyrights, trademarks, patents, ideas, processes, know-how, methodologies, concepts, designs, skills, tools, techniques, expressions, data, inventions, discoveries, developments, enhancements, programs, any intellectual property and any materials created by me in connection with my work as a member of any OMA committee or work group.

Notwithstanding anything to the contrary herein, this assignment does not apply to any pre- existing intellectual property (“ Pre- existing Intellectual Property”) that I provide to OMA. For any Pre -
