OMA Board of Trustees (BOT) Meeting Minutes December 18th, 2023 5:00--8:00 PM ET

Roll Call: Roll call was completed by Secretary/Treasurer, Dr. Marisa Censani. Attendees: Dr. Angela Fitch, Dr. Ethan Lazarus, Dr. Lydia Alexander, Dr. Harold Bays, Dr. Anthony Auriemma, Mrs. Sandra Christensen, Dr. Carolynn Francavilla Brown, Dr. Bharti Shetye, Dr. Craig Primack, Dr. Michelle Freshwater, Dr. Suzanne Cuda, Mrs. Teresa Fraker (OMA Executive Director), Ms. Lydia Haile (OMA Operations Specialist), and OMA’s Legal Counsel, Jim Wilson - Dr. Sylvia Gonsahn-Bollie, was not present for the meeting. Approval of the Agenda: Motion to approve the agenda. Motion passed. Conflict of Interest Disclosures: The BOT reviewed their various conflict of interest disclosures, and Dr. Fitch instructed board members to communicate any updates with OMA Operations Specialist, Ms. Haile. Approval of the Consent Agenda and Supporting Documents: Motion to approve the consent agenda. Motion passed. Executive Session: The BOT went into Executive Session that began at 5:07 PM and ended at 5:47 PM ET. During the Executive Session, the topic of Conflicts of Interest (COI) and the discussions that occurred during the Policy Committee meeting held on 12/4/2023 were also reviewed. The BOT members who were present for the Executive Session discussion included the following persons: Dr. Angela Fitch, Dr. Ethan Lazarus, Dr. Lydia Alexander, Dr. Harold Bays, Dr. Marisa Censani, Dr. Anthony Auriemma, Mrs. Sandra Christensen, Dr. Carolynn Francavilla Brown, Dr. Bharti Shetye, Dr. Craig Primack, Dr. Michelle Freshwater, Dr. Suzanne Cuda, Mrs. Teresa Fraker (OMA Executive Director), Ms. Lydia Haile (OMA Operations Specialist), and OMA’s Legal Counsel, Jim Wilson At the conclusion of the Executive Session, Dr. Fitch acknowledged that the Board of Trustees has been in receipt of the written resignation of Dr. Sylvia Gonsahn-Bollie, effective 12/17/2023. FY2024 Budget Review: Mrs. Fraker highlighted the favorable financial position of OMA, presenting the proposed 2024 budget as well as the 2023 fiscal summary.
