Amended and Restated Bylaws Of Obesity Medicine Association (Effective___________________) Article 1 Offices
Section 1.01 Registered Office and Agent. The registered office and agent of the Obesity Medicine Association (the "Association") shall be as designated by the Board of Trustees from time to time. Section 1.02 Other Offices. The Association may establish and maintain such other offices at such other places of business both within and without the State of Colorado as the Board of Trustees may from time to time determine. Article 2 Membership Section 2.01 Categories of Membership. The Association shall have the following categories of membership: Voting Categories 1. U.S. Physician Voting Members 2. Nurse Practitioner/Physician Assistant Voting Members 3. Associate Voting Members Non-Voting Categories 4. International Physician Non-Voting Members 5. Nurse Practitioner/Physician Assistant Non-Voting Members 6. Associate Non-Voting Members 7. Retired Non-Voting Members 8. Clinician in Training Non-Voting Members 9. Additional Non-Voting Membership categories may be determined by the Board of Trustees from time to time, as set forth below. Section 2.02: Voting Membership:
(a)
U.S. Physician Voting Members. The U.S. Physician Voting category of membership shall have the following structure: (1) Definition. Any physician in the United States under and holding a qualified allopathic degree (MD) or osteopathic degree (DO). Physician members must also have an active and current state medical license. (2) Membership Benefits. U.S. Physician Voting members are eligible to vote and hold elected office (meaning eligible to be an Officer (as defined below) or a member of the Board of Trustees), and to chair or participate in committees. Nurse Practitioner/Physician Assistant Voting Members. The Nurse Practitioner/Physician Assistant Voting category of membership shall have the following structure: (1) Definition. Any nurse practitioner/physician assistant who has completed an accredited NP or PA program and/or maintains certification with their approved national certifying body.
